Consent on Communications & E-signatures
By submitting an application to use the Services, you agree to this provision and confirm your consent to:

Receive Communications Electronically
‍Unless Law otherwise requires, or Union Block otherwise agrees, Union Block may provide Communications to you by posting them on the Site; notifying you through the Services, your Union Block Dashboard or any Union Block application (if applicable); sending a text message to any mobile phone number registered with Union Block; sending an email to any email address registered with Union Block; or delivering them in another electronic format. Charges may apply to communications sent by text or other electronic means.Examples of Communications include:Any disclosure statement governing your use of the Services;Any disclosure required by Law; Billing statements, receipts and account history reports;Letters, notices and alerts regarding the Services and any changes to the Services;Federal and state tax statements and documents; andOther disclosures, notices and communications in connection with your application for the Services; your relationship with Union Block; or servicing, collection or disbursement of funds.This Disclosure applies to all communications that Union Block provides to you on its behalf or on behalf of its service providers, financial partners and their affiliates.

The use of electronic signatures. 
Union Block may execute communications electronically. If Union Block requests, you will execute communications electronically. You also agree that communications you or Union Block sign electronically will have the same legal effect as a signed physical document.

If you choose not to consent to this Disclosure or if you withdraw your consent, you may be unable to use the Services.

Data Sharing
Union Block may share information about you or your transactions, as Union Block believes necessary to verify your eligibility to use the Services, to monitor Transactions so as other activities, and conduct risk management and compliance reviews. Union Block may also share data, including Protected Data, with third party service providers, and they may use and share this data, for the purpose of assessing your compliance with their terms and conditions, so as with Law. Union Block may periodically review your information to verify that you are eligible to use the Services.

Internet Abuse
You are prohibited from engaging in any form of Internet abuse, including but not limited to the use of our Services or Site as a mean for collection of payment or reference when: (a) distributing, publishing, or sending any kind of unsolicited or unwelcome email (commonly referred to as "junk mail" or "spam"), including, without limitation, mass promotions, unauthorized or unsolicited commercial advertising, and informational announcements, anywhere on the Internet; (b) posting a single article or substantially similar articles to an excessive number of mailing lists; (c) repeated or deliberate posting of articles that are off-topic; (d) posting commercial advertising in a conference or mailing list, unless it is specifically permitted to be posted within your organization or the beneficiaries; or (e) violating the CAN-SPAM Act.

Data Security
As You will maintain communication with Union Block through third party communication channels, each party will maintain commercially reasonable administrative, technical, and physical controls designed to protect data in its possession or under its control from unauthorized access, accidental loss and unauthorized modification. You are responsible for implementing administrative, technical, and physical controls that are appropriate for your business.

Enforcement
Union Block reserves the right and has absolute discretion to enforce the Terms. Union Block may, in its sole discretion, immediately terminate or suspend: (i) the Services; (ii) a Service Agreement; and/or (iii) access to this Site, if it determines that your services, offerings or activities violate the Terms. Without limitation, Union Block also reserves the right to report any activity (including the disclosure of appropriate data) that it suspects may violate any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Union Block also may cooperate with appropriate law enforcement agencies to assist in the investigation and prosecution of any illegal conduct. Modifications to the Site
Union Block reserves the right to amend the Terms and modify or discontinue all or part of the Site, temporarily or permanently, with notice.  Union Block is not obligated to support or update the Site. The amended Terms shall automatically become effective immediately after they are initially posted on this Site and notified to You. Your continued use of the Site or Services after the posting of the amended Terms on the Site constitutes your affirmative: (a) acknowledgment of the Terms and its modifications; and (b) agreement to abide and be bound by the Terms, as amended. Should you object to any modifications of the Terms, your only recourse is to immediately: (a) terminate use of the Site and/or Services; and (b) notify Union Block of termination.

Union Block may subcontract its obligations under this Terms and the Service Agreements to third parties.  Therefore, Union Block may reference, enable you to access, or promote (including on the Site) Third-Party Services. Union Block makes the third-party services available on an “as is” and “as available” basis, and makes no warranties or representations of any kind, express, implied, or statutory, regarding the third-party services. representations and warranties concerning the third-party services, if any, are set forth in the third-party terms.  You authorize Union Block to retrieve information about you and your business from Union Block’s service providers and other third parties, including credit reporting agencies, banking partners and information bureaus, and you authorize and direct those third parties to compile and provide that information to Union Block. This information may include your name, addresses, credit history, banking relationships, and financial history. The Site may contain links to third-party websites. The linked sites are not under the control of Union Block, and Union Block is not responsible for the contents or policies of any linked site. Union Block provides these links as a convenience only, and a link does not imply endorsement of, sponsorship of, or affiliation with the linked site by Union Block.

Limitation on Service
The user acknowledges and agrees that the services provided by Union Block are subject to certain limitations as Union Block is not licensed at the state level, pursuant to applicable laws, regulations, and rules. Restrictions in the service may include, but shall not limited to normal financial services or products normally rendered by money service business, like custody of funds, or payment to third parties on your behalf.  Union Block is, however, federally registered with FinCEN as a Money Service Business and complies with all federal requirements for money service businesses, including but not limited to, the Bank Secrecy Act and its implementing regulations, the AML/CFT rules and regulations, and the OFAC sanctions programs. You must be aware of the inherent risks associated with the use of cryptocurrencies and agrees to take full responsibility for any losses that may arise from the use of the Services. If You do not understand the risks associated with the use of cryptocurrencies, You should not use the Services. You further agree to comply with all applicable laws, regulations, and rules, with respect to the use of the Services, including, but not limited to, any applicable state and federal statutes and regulations, and any applicable rules and regulations of the Securities and Exchange Commission, the Commodity Futures Trading Commission, the Internal Revenue Service, and FinCEN.

Dispute Rights
You have the right to dispute a transaction, payment, or any other action made through our Service.

Intellectual Property Rights

Union Block prohibits its Services for any business activities linked directly or indirectly with jurisdictions Union Block has deemed high risk, as referenced in https://www.unionblock.io/prohibited-jurisdictions.  Additionally, it is prohibited to use Union Block's products and services to directly or indirectly export, reexport, sell, or supply accounting, trust and corporate formation, or management consulting services to any person located in the Russian Federation.

For the avoidance of doubt, you agree that Union Block does not represent or warrant that the Site or Services will be available, accessible, uninterrupted, timely, secure, accurate, complete, or entirely error-free.

Indemnification
You agree to indemnify, defend and hold harmless Union Block, its affiliates, directors, officers, shareholders, agents, contractors and employees, from any claim or demand, including reasonable attorneys' fees and court costs, made by any third party due to, arising from or out of: (a) your use of the Site and Services; (b) your breach or alleged breach of any representation, warranty or other obligation; (c) your violation or alleged violation of any federal, state, international or local law and any and all regulations, rules or ordinances; (d) the negligence or willful misconduct by you or your employees or agents; (e) any violation of the Terms; (f) your infringement of any intellectual property or other legal right of any person or entity; or (g) your advertising, marketing, promotion, sale, or distribution of any products or services.

When you enroll to obtain a Service from Union Block, you accept the specific terms and conditions applicable to that Service in accordance with the applicable Service Agreement. Except as provided in the Service Agreement, Union Block does not warrant that any service description or content contained in this Site is accurate, current, reliable, complete, or error-free.

Termination & Effect
Union Block may terminate access to the Site, with or without cause, at any time, and effective immediately. Termination shall be accompanied by a written or electronic notice to you. Union Block shall not be liable to you or any third party for termination. Should you object to any provision of the Terms or any subsequent modifications thereto, your only recourse is immediately to: (a) terminate use of the Site; and (b) notify Union Block of termination. Upon termination of access to the Site, your right to use the Site shall immediately cease.

Governing Law & Jurisdiction
The Site is accessible in all fifty states and other countries, and each of these places has laws that may differ from those of Delaware and from each other. As you and Union Block both benefit from establishing a predictable legal environment in which to publish, access and use the Site, by publishing, accessing, and/or using this Site, you and Union Block agree that all matters arising from or relating to the use and operation of this Site will be governed by the laws of the State of Delaware, without regard to its conflicts of laws principles. You agree that all claims it may have arising from or relating to the operation or use of this Site will be heard and resolved in the courts of Delaware. You consent to the personal jurisdiction of such courts over it, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objections to proceeding in such courts.

Union Block shall not be liable for any losses arising out of the delay or interruption of its performance of obligations due to any acts of God, acts of civil or military authorities, civil disturbances, wars, strikes or other labor disputes, fires, transportation contingencies, interruptions in telecommunications, utility, Internet services or network provider services, acts or omissions by a third party, infiltration or disruption of the Services by a third party, or other catastrophes or occurrences that are beyond Union Block's reasonable control.

In the event that any provision of the Terms shall, in whole or in part, be determined to be invalid, unenforceable or void for any reason, such determination shall affect only the portion of such provision determined to be invalid, unenforceable or void, and shall not affect in any way the remainder of such provision or any other provision of the Terms. Union Block's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. In the event of a conflict between the Terms and the applicable Service Agreement, the latter shall govern.
